These Terms of Service (“Terms”) govern your access to and use of the services provided by Maddi (“Maddi”, “we”, “us” or “our”), including our website, chat assistant, and AI-assisted residential property management services (together, the “Services”). Maddi provides property management services in respect of residential investment properties located in Victoria, Australia.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. Please read them carefully together with our Privacy Policy.

1. About Maddi and licensing

Residential property management in Victoria is a licensed activity regulated under the Estate Agents Act 1980(Vic) and administered by Consumer Affairs Victoria. Where the Services involve activities requiring a licence (such as leasing premises, collecting rent, or negotiating on your behalf), those activities are carried out by, or under the supervision of, a licensed estate agent. Maddi's AI assistant supports and streamlines these activities but does not replace the professional and legal obligations owed to you.

Nothing in these Terms is intended to exclude, restrict or modify any obligation imposed on a licensed estate agent under the Estate Agents Act 1980 (Vic), the Residential Tenancies Act 1997 (Vic), or any other applicable law.

2. Eligibility

To use the Services you must be at least 18 years old and have the legal capacity to enter into a binding contract. If you use the Services on behalf of a company, trust, or other entity, you warrant that you are authorised to bind that entity to these Terms.

3. Our services

Maddi provides AI-assisted management of residential investment properties, which may include marketing and leasing, tenant selection, rent collection and disbursement, routine inspections, repairs and maintenance coordination, rent reviews, and communications with tenants and third parties.

Rental appraisals, price estimates, and market information provided through the Services (including via our chat assistant) are indicative only. They are general in nature, based on available data and the information you provide, and are not a guarantee of the rent achievable, a formal valuation, or financial, legal, or taxation advice. You should obtain independent advice before making decisions.

4. Your responsibilities

You agree to:

  • provide accurate, current and complete information about yourself and your property;
  • ensure your property complies with all applicable laws, including the minimum standards and safety obligations under the Residential Tenancies Act 1997 (Vic) and associated regulations;
  • hold appropriate landlord insurance and building insurance, and comply with any owners corporation rules under the Owners Corporations Act 2006 (Vic) where applicable;
  • respond in a timely manner to requests for authorisations, decisions, or funds; and
  • not use the Services for any unlawful, misleading, or fraudulent purpose.

5. Authority to act

Where you engage Maddi to manage your property, you authorise us (and the licensed estate agent supervising the Services) to act on your behalf in accordance with your written management agreement. That management agreement, including its schedule of fees and services, forms part of the arrangement between us and prevails over these Terms to the extent of any inconsistency in relation to the management of your property.

6. Fees and payments

Fees for the Services are set out in your management agreement or as otherwise notified to you. Rent and other funds collected on your behalf are held and disbursed in accordance with the trust account requirements of the Estate Agents Act 1980 (Vic) and the Estate Agents (General, Accounts and Audit) Regulations. We will provide statements of account as required by law.

7. Artificial intelligence and automated assistance

Some of the Services use artificial intelligence to generate responses, summaries, and recommendations. While we take reasonable steps to ensure outputs are helpful and accurate, AI-generated content may occasionally be incomplete or incorrect. Significant decisions affecting your property or a tenancy are reviewed by, or made under the supervision of, appropriately qualified people. You should not rely on AI outputs alone where independent professional advice is warranted.

8. Intellectual property

All intellectual property rights in the Services, including the website, software, and content (excluding your own information), are owned by or licensed to Maddi. We grant you a non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. You must not copy, modify, reverse engineer, or create derivative works from the Services except as permitted by law.

9. Consumer guarantees and liability

Our Services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you have under the Australian Consumer Law or any other law where to do so would be unlawful.

To the maximum extent permitted by law, and subject to any non-excludable rights, our liability for any failure to comply with a consumer guarantee is limited (at our option) to re-supplying the relevant services or paying the cost of having them re-supplied. We are not liable for any indirect, incidental, or consequential loss arising out of or in connection with the Services.

10. Suspension and termination

You may stop using the Services at any time. Any termination of a property management engagement is governed by your management agreement and applicable law, including any required notice periods. We may suspend or terminate your access to the Services if you breach these Terms or if required by law.

11. Complaints and disputes

If you have a concern about the Services, please contact us first so we can try to resolve it. If a dispute cannot be resolved, you may be able to seek assistance from Consumer Affairs Victoria or lodge an application with the Victorian Civil and Administrative Tribunal (VCAT), depending on the nature of the matter.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated Terms on our website with a revised “last updated” date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
